Terms of Trade

1. General Terms

These Terms of Trade ("Terms") govern all business transactions between Therisano Group ("Company") and its clients ("Client"). By engaging with the Company, the Client agrees to be bound by these Terms. The Company reserves the right to modify these Terms at any time by providing written notice to the Client.

2. Investment Services

The Company provides investment advisory, project development, asset management, and grant management services. All services are provided on an as-is basis. The Company does not guarantee any specific investment returns or outcomes. Clients acknowledge that all investments carry inherent risks, including potential loss of capital.

3. Payment Terms

All fees and charges must be paid in accordance with the agreed payment schedule. Invoices are due within 30 days of issuance unless otherwise specified. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. The Company reserves the right to suspend services for non-payment.

4. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary information, business strategies, financial data, and other sensitive information shared during the course of business. This obligation survives termination of the business relationship for a period of five (5) years, except where disclosure is required by law or court order.

5. Intellectual Property

All materials, documents, strategies, and intellectual property developed by the Company remain the exclusive property of the Company. Clients may not reproduce, distribute, or use any Company materials without prior written consent. Clients grant the Company a non-exclusive license to use information provided by the Client for service delivery purposes.

6. Limitation of Liability

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the Client's use of services or inability to use services, even if the Company has been advised of the possibility of such damages. The Company's total liability shall not exceed the fees paid by the Client in the 12 months preceding the claim.

7. Termination

Either party may terminate the business relationship with written notice. The Client remains responsible for all fees and charges incurred up to the termination date. Upon termination, all Client information and materials shall be returned or destroyed as requested.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.

Clients are responsible for ensuring compliance with all applicable laws, regulations, and tax requirements in their respective jurisdictions. The Company does not provide guidance on regulatory compliance or tax obligations. Clients should consult with legal and tax professionals as needed.

10. Entire Agreement

These Terms, together with any additional agreements between the Company and Client, constitute the entire agreement regarding the subject matter and supersede all prior negotiations, representations, and agreements, whether written or oral.
